Research summary
Study of insurance laws and company laws In recent years, remarkable growth has been seen in insurance laws. Studies are being conducted, centered in the legal principle of insurance contracts, as a private law having undergone an enormous revision of modernization, as well as on regulations on the organization and activities of insurance companies under the Insurance Business Act. In the insurance contract laws, interest is especially strong on the exemption clause of the insurer. On the other hand, for the studies on company laws, the tasks for studies in the organizational aspect are the regulations concerning the responsibilities of the shareholders meeting and the directors, and the types of shares in fund raising aspect. [Study theme (1) Summary] The main theme is studies related to the interpretation and application of the insurance laws established in 2008. [Study theme (2) Summary] The study on the exemption of the insurer will be focused on the issue of the scope of human application of insured event invitation exemption and the subjective event of the policyholder as a requirement for exemption, to draw out an interpretive conclusion of the Japanese law, by adding comparative methodological approaches. [Study theme (3) Summary] The study of de facto director is also a study on the extent of human application where regulation of the responsibilities of the director shall apply, and is a study on the extent of regulation as a director shall apply, for persons taking part in management as a de facto director.
